PAID - FAIR USAGE POLICY
1. Purpose
This Fair Usage Policy forms part of the Agreement and applies by default to all customers using the Services. The Services are offered for normal commercial workloads typical of customers of similar size and industry, and this Policy sets out baseline usage thresholds and the process for addressing sustained over-consumption, misuse, or circumvention of those thresholds.
2. Baseline Limits
Unless otherwise specified in the applicable Ordering Document or Documentation, the following are default baseline Normal Usage thresholds: (i) 1 million API requests per calendar month, (ii) 10 GB of data stored in the Platform at any time, and (iii) 200 concurrently active end-user seats per production environment.
These thresholds may vary depending on the Customer's plan, service tier, purchased quantities, environment, use case, or the limits agreed in the applicable Ordering Document or Documentation.
3. Monitoring and Notice
Paid may monitor aggregate usage and consumption of the Services for billing, capacity planning, security, and service protection purposes. If Customer exceeds any applicable usage threshold for two consecutive calendar months, or otherwise uses the Services in a manner inconsistent with normal commercial workloads, Paid may give written notice describing the relevant Excess Usage and the parties will work in good faith to reduce usage, optimise configuration, or agree revised commercial terms and/or additional capacity.
4. Operational Controls and Suspension
If Excess Usage is not remedied within 30 days after notice, Paid may, after at least 5 Business Days' advance notice where reasonably practicable, apply reasonable technical or administrative controls, including rate limiting, throttling, storage caps, seat caps, or other similar controls, and/or suspend the affected Services in accordance with the Agreement until usage returns to the applicable limits or the parties agree revised commercial terms.
Nothing in this Policy limits Paid's right to take more immediate action where necessary to protect the security, integrity, availability, or performance of the Services or other customers' use of the Services.
5. Overage Fees and Additional Capacity
If Customer exceeds applicable usage limits, Paid may require Customer to purchase additional capacity under an Ordering Document and/or pay any usage-based, overage, or excess usage fees incurred at the rates set out in the applicable Ordering Document or, if no such rates are specified, at Paid's then-current standard rates for such excess usage.
Failure to purchase additional capacity or pay applicable overage or excess usage fees when due may result in reasonable technical or administrative controls and/or suspension of the affected Services in accordance with the Agreement.
6. Misuse and Circumvention
Customer must not evade or attempt to evade applicable usage thresholds or commercial limits, including by creating multiple workspaces, accounts, environments, or similar arrangements designed to avoid contracted limits, or by using the Services in a manner that materially degrades, disrupts, or creates an unreasonable burden on the Services.
Paid may investigate suspected misuse and require Customer to provide reasonable cooperation and information in connection with that investigation.
7. Updates
Paid may update this Fair Usage Policy from time to time on a prospective basis to reflect product changes, operational requirements, security considerations, or changes to standard usage models, provided that no update will retroactively alter charges already incurred or materially reduce any quantities expressly committed in an applicable Ordering Document.
8. Hierarchy and Interpretation
This Fair Usage Policy is incorporated by reference into the Agreement and applicable Ordering Document. In the event of any conflict or inconsistency, the Agreement prevails, except that this Fair Usage Policy prevails solely to the extent the conflict relates to operational usage or consumption limits and related technical or administrative controls.
For the avoidance of doubt, this Fair Usage Policy does not prevail over the Agreement in relation to fees, payment obligations, subscription term or non-cancellability, data protection terms, or termination rights.
Capitalised terms not defined in this Fair Usage Policy have the meanings given to them in the Agreement.
