3. Other Terms Apply to Subscription Services
If you or your organisation purchase, access or use Paid’s subscription services (including any trial, beta or free services), that use is governed by the applicable master subscription agreement, ordering document, fair usage policy, data processing agreement and related documents (together, the “Customer Agreement”). To the extent Paid processes Customer Personal Data on your or your organisation’s behalf in connection with the subscription services, that processing is governed by the data processing agreement forming part of the Customer Agreement. If there is any conflict between these Terms and the Customer Agreement, the Customer Agreement prevails in relation to the subscription services and any related processing of Customer Personal Data.
4. Acceptance
By accessing or using the Website, you agree to these Terms. If you do not agree, you must not use the Website.

We may amend these Terms from time to time by posting an updated version on the Website. The updated Terms take effect when posted.

7. Intellectual Property
All intellectual property rights in the Website and its content (including text, graphics, logos, layout, software and design) are owned by or licensed to Paid. You may view and use the Website for your internal business purposes, but you must not copy, modify, distribute, publish, sell, or create derivative works from it except where permitted by law or with our prior written consent.

11. Limitation of Liability
To the maximum extent permitted by law:
(a) we will not be liable for any indirect, consequential, special, incidental or punitive losses, or any loss of profits, revenue, business, goodwill, data, or business interruption, arising out of or in connection with the Website or these Terms; and
(b) our total aggregate liability arising out of or in connection with these Terms will not exceed GBP 1,000.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or fraud.
12. Indemnity
You will indemnify and hold harmless Paid from and against any claims, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with your unlawful use of the Website or your breach of these Terms.

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
15. General
(a) If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force.
(b) These Terms constitute the entire agreement between you and Paid relating to your use of the Website.
(c) A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.
